1. Nature of the Agreement & Definitions

This Service Policy and Terms of Service (“Agreement”) governs all commercial, technical, and professional relationships between CosmoPetra (hereinafter referred to as “the Company”) and any individual, company, or legal entity engaging its services (hereinafter referred to as “the Client”).

By requesting quotations, issuing purchase orders, signing contracts, or accepting delivery of goods or industrial engineering services, the Client irrevocably and unconditionally accepts the terms herein.

Definitions

• Company: CosmoPetra | Safe Lifting Solutions
• Client: The purchasing or contracting entity
• Services: Procurement of lifting equipment, engineering consultancy, inspections, training, and project execution
• Technical Workout™: A proprietary engineering and risk-validation process conducted by CosmoPetra to verify load paths, safety factors, structural capacity, and operational feasibility prior to execution
• Zero-Failure Protocol™: CosmoPetra’s mandatory engineering, certification, and verification framework for lifting and material handling operations

2. Technical Engineering Authority & the Engineering Filter

CosmoPetra operates as a Technical Engineering Authority, not merely a supplier or reseller of industrial hardware.

2.1 Engineering Prerequisite

All lifting equipment, crane systems, and load-handling solutions supplied or approved by the Company are subject to the Zero-Failure Protocol™, which includes:

• Engineering verification of load ratings and safety factors
• Compatibility checks with existing structures and cranes
• Compliance with international standards (ISO, LEEA, FEM, ASME where applicable)

The Company reserves the right to refuse supply or execution if minimum safety or engineering thresholds are not met.

2.2 Method Statements & Engineered Plans

For complex or critical lifting operations, CosmoPetra provides:

• CAD-based lifting layouts
• Engineered Method Statements
• Risk assessments and exclusion-zone planning

Strict Prohibition: The Client may not modify, partially apply, or deviate from any issued Method Statement or engineering drawing without prior written approval from CosmoPetra’s Lead Engineer. Any unauthorized alteration immediately voids responsibility and liability of the Company.

2.3 Crane & Structural Lifecycle Oversight

CosmoPetra’s technical scope may include full or partial lifecycle management of lifting assets, including:

• Overhaul and refurbishment
• Periodic inspection and load testing
• Maintenance of gantry, tower, jib, and overhead cranes

2.4 Limitation of Engineering Liability

While CosmoPetra provides engineering analysis, calculations, and technical validation with the highest professional diligence:

• Execution responsibility remains with the Client’s site management and operators
• The Company bears no liability for incidents arising from:
  
  • Site deviations
  • Operator misconduct or incompetence
  • Use of unapproved equipment or accessories

3. Procurement, Authenticity & Anti-Counterfeit Policy

CosmoPetra maintains a zero-tolerance policy toward counterfeit or uncertified equipment.

3.1 OEM-Only Mandate

All supplied products are 100% OEM-original, sourced directly from approved manufacturers and principals, including but not limited to:

• Detroit Hoist
• Columbus McKinnon
• Daesan
• Elephant
• Ridgid
• Thern 

3.2 Certification Chain & Technical Passport

Each supplied item is delivered with a complete Technical Passport, which may include:

• Manufacturer certificates
• Batch / serial coding
• Load test certificates
• International compliance documentation (ISO / LEEA / CE where applicable)

3.3 Warranty & Support Nullification

Any of the following actions immediately void all warranties, guarantees, and technical support:

• Integration of non-OEM or cloned components
• Unauthorized modification or repair
• Operation beyond rated capacity or design limits

4. CosmoPetra Industrial Academy & Training Policy

CosmoPetra operates an Industrial Training & Certification facility in Badr City, serving as a regional Center of Excellence.

4.1 Strategic Training Partnerships

All professional training programs are delivered in collaboration with internationally recognized bodies, including:

• Bureau Veritas (BV)
• QSG

4.2 Participant Conduct & Safety

All trainees, including engineers, technicians, and academic interns, must:

• Comply fully with site safety rules
• Wear mandatory PPE
• Follow instructor and safety officer directions at all times

The Company reserves the right to suspend or remove any participant violating safety protocols.

4.3 Certification Issuance

Certification is granted solely upon:

• Successful completion of technical and practical assessments
• Full compliance with CosmoPetra and partner standards

CosmoPetra reserves the right to withhold certification without refund if minimum competency levels are not achieved.

5. Commercial, Financial Terms & Project Autopilot™

As an AI-powered business and engineering solutions provider, CosmoPetra utilizes automated and semi-autonomous workflows to enhance speed, traceability, and accuracy.

5.1 Order-to-Shipment Workflow

• Digitized procurement and inventory control
• Accelerated sourcing for SMEs and industrial clients
• Transparent order tracking

5.2 Fees & Payment Terms

Unless otherwise stipulated in a signed B2B agreement:

• Engineering consultancy and Technical Workout™ services require an advance mobilization fee prior to commencement
• Procurement orders are subject to agreed payment milestones
• All prices exclude applicable taxes, customs, and duties unless explicitly stated

Failure to comply with payment terms grants the Company the right to suspend services without liability.

6. Intellectual Property & Confidentiality

All engineering documents, calculations, CAD files, training materials, and methodologies remain the exclusive intellectual property of CosmoPetra.

The Client may not copy, distribute, or reuse such materials without written consent.

7. Governing Law & Jurisdiction

This Agreement is governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes shall fall under the exclusive jurisdiction of Egyptian courts, unless otherwise agreed in writing.

8. Acceptance

Engagement with CosmoPetra’s services constitutes full acceptance of this Agreement, superseding any conflicting client-side terms or purchase conditions.
